Access to software determines participation in a digital society. To
secure equal participation in the information age, the Free Software
Foundation Europe (FSFE) pursues and is dedicated to the furthering of
Free Software, defined by the freedoms to use, study, modify and
copy. Independent of the issue of commercial exploitation, it is
proprietary, freedom-diminishing licensing that works against the
interests of people and society at large, which is therefore rejected
by FSFE.\\
The purpose of this agreement is to ensure the lasting protection of
Free Software by making FSFE the fiduciary of the author's interests.
It empowers FSFE -- and its sister organisations -- to uphold the
interests of Free Software authors and protect them in court, if

FSFE is given the right to relicense the software as necessary for the
long-term legal maintainability and protection of the software. The

work are impossible include, but are not limited to, Germany, Austria,
Slovenia and Hungary.} grants an exclusive licence, including, inter
alia:

\item the right of making available in data networks, in particular
via the Internet, as well as by providing downloads, in original or

\A Beneficiary's moral or personal rights remain unaffected by this
Agreement.\\
\A In some countries, the law may provide that the employer is deemed
to be the owner of the rights on materials developed by an employee in
the course of his or her employment, unless the parties have agreed
otherwise. The Beneficiary is aware of these provisions, and therefore
warrants, represents and guarantees that the Subject Matter is free of
any of his or her employer's exclusive exploitation rights.
\section{Subject Matter}
The rights and licences granted in {\S}~1 are subject to all
``Software'' and ``Documentation.'' For the purpose of this Agreement,
``Software'' shall mean all computer programs, copyrightable sections
of computer programs or modifications of computer programs that have
been developed or programmed by Beneficiary and that are specified in
this Agreement below or that are listed in Exhibit A attached to this
Agreement and dated and signed by the contracting parties. Likewise,
``Documentation'' shall refer to all manuals and documentation written
by Beneficiary alongside and usually distributed with the ``Software''
and are similarly specified below or listed in Exhibit A:

this provision are modifications that are not derived from the subject
matter and that have to be regarded as independent and original

\section{FSFE's Rights and \\Re-Transfer of Non-Exclusive Licence}
\A FSFE shall exercise the granted rights and licences in its
own name. Furthermore, FSFE shall be authorized to enjoin third
parties from using the software and forbid any unlawful or copyright
infringing use of the Software, and shall be entitled to enforce all
its rights in its own name in and out of court. FSFE shall also
be authorized to permit third parties to exercise FSFE's rights
in and out of court.\\
\A FSFE grants to Beneficiary a non-exclusive, worldwide, perpetual
and unrestricted licence in the Software. This right's [and licence's]
scope shall encompass and include all the rights [and licences]
specified in {\S}~1. Furthermore, FSFE grants to Beneficiary
additional non-exclusive, transferable license to use, reproduce,
redistribute and make available the Software as needed for releases of
the Software under other licences. This re-transfer shall not limit
the scope of FSFE's exclusive licence in the Software and FSFE's
rights pursuant to {\S}~1.\\
\A FSFE shall only exercise the granted rights and licences in
accordance with the principles of Free Software as defined by
the Free Software Foundations. FSFE guarantees to use the rights
and licences transferred in strict accordance with the
regulations imposed by Free Software licences, including, but not
limited to, the GNU General Public Licence (GPL) or the GNU Lesser
General Public Licence (LGPL) respectively. In the event FSFE violates
the principles of Free Software, all granted rights and licences shall
automatically return to the Beneficiary and the licences granted
hereunder shall be terminated and expire.\\

\A Regarding the succession of rights in this contractual

deviating regulations. In case of the Beneficiary's death, the
assignment of exclusive rights shall continue with the heirs. In case
of more than one heir, all heirs have to exercise their rights through
a common authorized person.\\

<h2>Què és l'ALF?</h2>
<p>L'Acord de Llicència Fiduciària (ALF) cerca enfortir el fonament
legal del Programari Lliure permetent que els autors de Programari Lliure facin
de l'FSFE el seu fiduciari per a tots els temes legals en el marc de les
activitats de la <a href="/projects/ftf/">Freedom Task Force</a>.</p>
<p>Això en principi és molt similar al que fa la FSF de Nordamèrica
amb els seus <i>Copyright Assignments (CAs)</i> per al <a
href="http://www.gnu.org">Projecte GNU</a> per tal d'assegurar el fonament
legal sobre el que es basa el nostre sistema operatiu.</p>
<p>Com alguns lectors sabran, la tradició continental Europea dels «Droit
d'Auteur» (drets d'autor) és significativament diferent en algunes parts
a la tradició angloamericana del copyright.</p>
<p>Donant especial atenció a aquestes diferències, l'Acord de Llicència
Fiduciària ofereix una aproximació europea als mateixos temes
conduits pels <i>Copyright Assignment</i> mencionats a dalt.</p>

<p>Guanyant popularitat, el Programari Lliure també s'enfronta a més i més

canviés el nom d'un paquet de programari o que deixés de distribuir-lo
completament. Com a comunitat, hem de trobar vies de defendre els nostres
contribuïdors actius contra això.</p>
<p>Un altre tema és que més i més empreses fan anar projectes de
Programari Lliure i demanen els desenvolupadors de cedir els seus drets de manera
que aquestes empreses puguin vendre versions privatives d'aquesta peça de
Programari Lliure.</p>
<p>Com que la gestió, les polítiques d'empresa i els mercats són sovint subjecte de
canvis dràstics i ràpids, cap empresa pot garantir ja de mantenir
una certa política durant 20 anys o més. Adicionalment, cap empresa està
completament segura de no patir fallida o ser comprada per altres empreses.</p>
<p>També per aquesta raó, les empreses sovint no es refien que les altres «facin
el que s'ha de fer» durant un llarg temps en el futur.</p>
<p>L'Acord de Llicència Fiduciària ajudarà amb totes aquestes qüestions
permetent que l'FSFE tingui cura del manteniment legal i la protecció

<h2>Was ist die FLA?</h2>
<p>Die Treuhänderische Lizenzvereinbarung (FLA) ist eine
Urheberrechtsabtretung, die es Freie-Software-Projekten ermöglicht, ihr
Urheberrecht in einer einzigen Organisation oder Person zu bündeln. Dies
erlaubt den Projekten, ihre rechtliche Wartbarkeit zu wahren. Sie
beinhaltet wichtige Themen wie die Erhaltung der Fähigkeit zur
Relizenzierung und natürlich auch die Sicherstellung ausreichender Rechte,
um Lizenzen vor Gericht durchsetzen zu können. Die abtretende Partei verliert
auch nicht die Möglichkeit, ihren Code selbst zu nutzen, da die FLA die
Rückgabe der unbgrenzten Nutzungsrechte zurück zum Autor beinhaltet.</p>
<p>Die FLA wird vom FSFE Treuhand-Projekt genutzt. Die FSFE Freedom Task Force
bedient sich eines großen Teams von technischen und juristischen Experten, um
rechtliche Fragen zu beantworten, kümmert sich um die Einhaltung der Lizenzen
und ermöglicht somit den Projekten, sich auf ihr Projektmanagement und ihre
technische Arbeit zu konzentrieren. Beispiele solcher Projekte, die von diesem

<h2>Hintergrund</h2>
<p>Mit wachsender Popularität sieht sich Freie Software auch zunehmend
mit juristischen Fragen konfrontiert. Im Gegensatz zu proprietären
Projekten, die üblicherweise einem einzigen Unternehmen gehören und
nach wenigen Jahren weggeworfen werden, hat Freie Software oft viele
Autoren und ist über sehr lange Zeit im Einsatz. Einige der heute weit
verbreiteten Programme sind 10-20 Jahre alt oder sogar noch älter.</p>
<p>Sicherzustellen, dass diese Programme auch weiterhin juristisch
einwandfrei eingesetzt und geschützt werden können, selbst nachdem
deren Autoren möglicherweise nicht mehr aufzutreiben sind oder diesen
Planeten bereits verlassen haben, ist eine der Aufgaben, vor denen die
Freie Software Gemeinschaft steht.</p>
<p>In letzter Zeit haben wir außerdem einen Anstieg an Fällen erlebt,
in denen Autoren von Freier Software ausschließlich auf rechtlicher Basis
angegriffen wurden, um sie dazu zu zwingen, den Namen eines Pakets zu ändern
oder die Verbreitung komplett einzustellen. Wir müssen als Gemeinschaft Wege
finden, unsere Aktiven gegen solche Angriffe zu schützen.</p>
<p>Darüberhinaus gibt es mehr und mehr Unternehmen, die
Freie-Software-Projekte betreiben und freiwillige Entwickler darum bitten,
ihnen ihre Rechte zu übertragen, damit sie in der Lage sind, proprietäre
Versionen dieser Freien Software anzubieten.</p>
<p>Da Management, Unternehmenspolitik und Märkte oft drastische und
schnellebige Veränderungen erfahren, kann kein Unternehmen
garantieren, eine bestimmte Politik für 20 oder mehr Jahre zu
verfolgen. Darüberhinaus ist kaum ein Unternehmen vor Bankrott oder
Übernahme gefeit.</p>
<p>Auch aus diesen Gründen trauen Unternehmen einander häufig nicht zu, für
eine längere Zeit in der Zukunft zuverlässig das "Richtige" zu tun.</p>

<h3>What is the FLA?</h3>
<p>The Fiduciary Licence Agreement (FLA) is a copyright assignment that allows Free Software projects to bundle their copyright in a single organisation or person. This enables projects to ensure their legal maintainability, including important issues such as preserving the ability to relicense and certainty to have sufficient rights to enforce licences in court. The assigning party does not lose their ability to use their code either, as the FLA ensures a re-transferral of unlimited usage/single exploitation rights back to the author.</p>
<p>The FLA is used for FSFE's Fiduciary Program. FSFE's Freedom Task Force uses its large team of technical
and legal experts to handle the legal issues and take care of licence compliance, allowing projects to focus on project management and technical work. Examples of projects benefiting from this service are Bacula.org and OpenSwarm.<br />

<h3>Background</h3>
<p>With growing popularity, Free Software also faces more and more
legal issues. Unlike proprietary projects, which tend to be owned by a
single company and thrown away after a few years, Free Software often
has many authors and is used for many years, some of the Free Software
programs in wide use are 10-20 years old or even older than that.</p>
<p>Making sure these programs will be legally safe to use and
defendable even after their authors are possibly nowhere to be found
or have even left planet earth is one of the issues the Free Software
community is facing.</p>
<p>Recently, we have also seen an increase in cases where authors of
Free Software were attacked solely on legal grounds to get him or her
to change the name of a software package or to stop distributing it
entirely. We as a community must find ways to defend our active
contributors against this.</p>
<p>Another issue is that more and more companies are running Free
Software projects and ask developers to give up their rights so these
companies can sell proprietary versions of that piece of Free
Software.</p>
<p>As management, company policy and markets are often subject to
drastic and rapid change, no company could ever guarantee to stick to
a certain policy for 20 years or more. Additionally, no company is
entirely safe from bankruptcy or buy-outs by other companies.</p>
<p>Also for this reason companies often don't trust each other to "do
the right thing" for a long time into the future.</p>
<p>The Fiduciary Licence Agreement will help with all these issues by allowing the FSFE or another trusted party to take care of the legal maintainability and protection of Free Software projects.</p>

<h2>Qu'est-ce que le FLA&#160;?</h2>
<p>L'Accord Fiduciaire sur les Licences est une délégation des droits d'auteur qui permet à des projets de Logiciels Libres de consolider leurs droits au sein d'une organisation ou envers une personne unique. Cela permet aux projets d'assurer une maintenance juridique sur des sujets aussi importants que la préservation de la possibilité de changer de licence, et l'assurance de posséder des droits suffisants pour pouvoir assurer l'application des licences devant un tribunal. La partie délégataire ne perd pas son droit à utiliser son code pour autant, puisque le FLA assure à l'auteur qu'il peut récupérer tous ses droits s'il le souhaite.<br />

<p>Le FLA est utilisé dans le programme fiduciaire de la FSFE. La Freedom Task Force de la FSFE utilise son équipe d'experts techniques et juridiques pour s'assurer de la conformité des licences, permettant aux projets de se concentrer sur leur travaux techniques. OpenSwarm et Bacula.org sont deux exemples de projets bénéficiant de ce service.<br />

<p>Le FLA peut également être adapté afin de déléguer les droits à une autre organisation mise en place par le projet lui-même. Cette organisation aura alors à s'occuper du travail administratif et de conformité elle-même, mais bénéficiera malgré tout de la solidité du FLA pour la consolidation des droits, et la Freedom Task Force de la FSFE se fera un plaisir de fournir son expertise et son expérience à de telles organisations.<br />

<h3>Contexte</h3>
<p>Avec sa popularité grandissante, le Logiciel Libre doit faire face à des problèmes légaux de plus en plus nombreux. À la différence des projets propriétaires, qui ont tendance à être la propriété d'une seule entreprise puis revendus ou jetés après quelques années, les Logiciels Libres ont souvent plusieurs auteurs et sont utilisés de nombreuses années. Une part des Logiciels Libres encore largement utilisés ont dix à vingt ans d'âge, et pour certains plus encore.</p>
<p>S'assurer que l'utilisation de ces logiciels sera légalement sûre et défendable, même après que leurs auteurs aient éventuellement disparu, est l'un des problèmes auxquels fait face la communauté du Logiciel Libre.</p>
<p>Récemment, nous avons également constaté une recrudescence de procès dans lesquels les auteurs de Logiciels Libres étaient attaqués sur des bases légales, dans le seul but de leur faire changer le nom d'un paquetage logiciel, voire de leur en faire cesser totalement la distribution. En tant que communauté, nous devons trouver les moyens de défendre nos contributeurs les plus actifs contre cela.</p>
<p>Un autre problème vient du fait que de plus en plus d'entreprises utilisent des Logiciels Libres, et demandent ensuite aux développeurs d'abandonner leurs droits de façon à vendre des versions propriétaires de ce Logiciel Libre.</p>
<p>Comme l'administration, la politique d'entreprise et les marchés sont sujets à des changements rapides, fréquents et profonds, aucune entreprise ne peut garantir qu'elle se conformera à une politique donnée durant 20 ans ou plus. De plus, aucune entreprise n'est totalement à l'abri de la banqueroute ou du rachat par d'autres entreprises.</p>
<p>C'est également pour cette raison que les entreprises ne font généralement pas confiance aux autres. Personne ne parie sur la bonne conduite du voisin sur du long-terme.</p>
<p>L'Accord Fiduciaire sur les Licences permettra de résoudre tous ces problèmes en délégant, à la FSFE ou toute autre organisation de confiance, la tâche de s'assurer de la maintenance juridique et de la protection des projets de Logiciels Libres.</p>

<h2>Cosa <20> il FLA?</h2>
<p>Il "Fiduciary Licence Agreement" (letteralmente "Accordo di Licenza Fiduciario", ndt) cerca
di rafforzare il fondamento legale del Software Libero permettendo
agli autori di Software Libero di nominare la Free Software
Foundation Europe come loro fiduciario per tutte le eventuali cause legali.</p>
<p>Si tratta di qualcosa di molto simile, in linea di principio, a ci<63> che la
FSF Nord America fa con i suoi Copyright Assignment ("Ripartizione del Diritto
d'Autore", ndt) per il <a href="http://www.gnu.org">Progetto GNU</a>, in modo da
difendere le fondamenta legali su cui il nostro sistema operativo si
poggia.</p>
<p>Come alcuni di voi sapranno, la tradizione del diritto d'autore
nel continente europeo ("droit d'auteur") <20> per alcuni aspetti
significativamente diversa da quella anglo-americana ("copyright").</p>
<p>Dando particolare risalto a queste differenze, il "Fiduciary
Licence Agreement" offre un approccio europeo alle stesse problematiche
affrontate dal "Copyright Assignment" menzionato sopra.</p>

<h2>Approfondimenti</h2>
<p>Data la sua crescente popolarit<69>, il Software Libero si trova
a fronteggiare sempre pi<70> cause legali. A differenza dei progetti
di software proprietario, che tendenzialmente appartengono
ad una singola azienda e sono accantonati dopo pochi anni, il Software Libero
spesso ha molti autori e viene usato per molti anni: alcuni programmi liberi
di largo uso hanno 10-20 anni, o anche pi<70>.</p>
<p>Assicurare che questi programmi siano legalmente tutelabili e sicuri da
utilizzare anche nel caso che gli autori siano irrintracciabili o addirittura
abbiano lasciato il pianeta Terra, <20> uno dei problemi che la communit<69> del
Software Libero si <20> trovata ad affrontare.</p>
<p>Recentemente, abbiamo inoltre notato un aumento dei casi nei quali
gli autori di Software Libero sono stati attaccati unicamente sul campo legale
per far cambiare nome ad un pacchetto software o per far s<> che esso
smettesse completamente di essere distribuito.
Noi, come comunit<69>, dobbiamo trovare il modo di difendere da tutto ci<63> i
nostri collaboratori attivi.</p>
<p>Un altro problema <20> rappresentato dal fatto che sempre pi<70> aziende
hanno intrapreso progetti di Software Libero chiedendo agli sviluppatori
di rinunciare ai propri diritti, in modo da poter poi vendere
versioni proprietarie di un certo pezzo di Software Libero.</p>
<p>Visto che i dirigenti, le strategie aziendali e i mercati sono
spesso soggetti a drastici e rapidi cambiamenti, nessuna azienda
potrebbe mai garantire di tenere una determinata condotta per
vent'anni o pi<70>. In aggiunta, nessuna azienda <20> completamente al
sicuro da fallimenti o dall'acquisizione da parte di altre aziende.</p>
<p>Anche per questo motivo le aziende spesso non si fidano le une delle
altre nel "fare la cosa giusta" anche a lungo termine.</p>
<p>Il "Fiduciary Licence Agreement" sar<61> d'aiuto in tutti quei casi, permettendo
alla Free Software Foundation Europe

<h2>Wat is deFLA?</h2>
<p>De Fiduciary Licence Agreement (FLA) is een overdracht van het auteursrecht waardoor
Vrije Softwareprojecten hun auteursrechten kunnen bundelen bij één organisatie of
persoon. Dit zorgt ervoor dat de projecten juridisch beheersbaar blijven. Dankzij deze
werkwijze blijft het bijvoorbeeld mogelijk om projecten onder een andere licentie te plaatsen
en kan men zijn rechten makkelijker afdwingen voor de rechtbank. De overdragende partij
verliest nooit het recht om zijn code te gebruiken, aangezien de FLA een onbeperkt
gebruiksrecht en een exploitatierecht teruggeeft aan de auteur.</p>
<p>De FLA wordt gebruikt voor FSFE's fiduciair programma. FSFE's Freedom Task Force
heeft een groot team van juridische en technische specialisten om juridische zaken te
behandelen en ervoor te zorgen dat de licenties worden nageleefd. Hierdoor kunnen
projecten zich focussen op het algemene beheer en de technische werkzaamheden.
Voorbeelden van projecten die genieten van deze diensten zijn Bacula.org en OpenSwarm.

<p>De FLA kan ook worden aangepast om de rechten over te dragen aan een andere
organisatie die is opgericht door het projectteam zelf. Deze organisatie moet dan zelf werk
maken van de administratie en het controleren van de licentievoorwaarden, maar ze hebben
wel de voordelen van een degelijke overeenkomst (FLA) om al de rechten te verzamelen.

<h3>Achtergrond</h3>
<p>Samen met haar populariteit, groeide ook de het aantal juridische vragen rond Vrije
Software. In tegenstelling tot propriëtaire software, meestal in het bezit van één bedrijf en
slechts enkele jaren in gebruik, wordt Vrije Software geschreven door veel auteurs en ook
vele jaren gebruikt. Sommige, nog steeds veelgebruikte Vrije Softwareprogramma's, zijn al
meer dan 10-20 jaar in gebruik.</p>
<p>Het is een grote uitdaging voor de Vrije Softwaregemeenschap om deze programma's
juridisch veilig te stellen, ook als de auteurs niet meer kunnen opgespeurd worden of als
ze overleden zijn.</p>
<p>De laatste tijd gebeurt het ook steeds vaker dat auteurs van Vrije Software langs
juridische weg worden aangepakt om de naam van hun softwarepakketten te veranderen, of
om de projecten helemaal op te doeken. Wij als gemeenschap moeten manieren vinden
om onze actieve medewerkers hiertegen te beschermen.</p>
<p>Een ander probleem is dat steeds meer bedrijven die Vrije Softwareprojecten gebruiken,
aan de ontwikkelaars vragen om hun rechten op te geven zodat deze bedrijven propriëtaire
versies van die Vrije Software kunnen verkopen.</p>
<p>Aangezien een management, een bedrijfsbeleid en de markten vaak het onderwerp zijn
van snelle drastische veranderingen, kan geen enkel bedrijf garanderen dat ze de volgende
twintig jaar hetzelfde beleid zullen voeren. Daar komt nog bij dat geen enkel bedrijf helemaal
veilig is voor een faillissement of een overname door andere bedrijven.</p>
<p>Het is ook daardoor dat bedrijven elkaar niet vertrouwen als het erom gaat "de juiste
dingen" te doen in de toekomst.</p>
<p>De Fiduciary Licence Agreement kan een oplossing bieden voor al deze problemen door
de FSFE, of een andere organisatie die je vertrouwt, het recht te geven om te zorgen voor
de juridische beheersbaarheid en bescherming van een Vrije Softwareproject.

juridiska fr<66>gor till m<>tes. Fri Programvara, till skillnad fr<66>n propriet<65>ra
programvaror som oftast <20>gs av ett enda f<>retag och sedan <20>verges
efter ett par <20>r, har ofta flera upphovsm<73>n och anv<6E>nds unde
m<>nga <20>r. En del Fri Programvara som anv<6E>nds idag <20>r
10-20 <20>r gamla, och ibland <20>nnu <20>ldre.</p>
<p>
Att juridiskt s<>kra anv<6E>ndningen och utvecklingen av dessa programvaror,
<20>ven om dess upphovsm<73>n inte g<>r att hitta, <20>r en av de fr<66>gor
som samh<6D>llet kring Fri Programvara st<73>r inf<6E>r.</p>
<p>
Nyligen har vi <20>ven sett en <20>kning av fall d<>r upphovsm<73>n
till Fri Programvara attackeras p<> juridiska grunder f<>r att f<>
honom eller henne att <20>ndra namn p<> ett mjukvarupaket, eller
helt upph<70>ra med distributionen. Som ett samh<6D>lle m<>ste vi hitta
s<>tt att f<>rsvara v<>ra bidragsgivare mot detta.</p>
<p>
En annan fr<66>ga <20>r att fler och fler f<>retag utvecklar
Fri Programvara och ber utvecklare att <20>verge sina
r<>ttigheter f<>r att f<>retagen ska kunna s<>lja
propriet<65>ra versioner av den Fria Programvaran.</p>
<p>
Med de snabba f<>r<EFBFBD>ndringar som kan ske inom f<>retagens
ledning, policy och marknad, s<> kan inget f<>retag garantera
en satsning p<> en viss policy under 20 <20>r eller mer. F<>retag
l<>per dessutom hela tiden risken f<>r konkurs eller uppk<70>p av
